PSC Cyprus: Registration of a Business Entity - Company, Partnership, Business Name, European Company (SE), Overseas Company and other Entities
Local and foreign investors may establish any of the following legal entities or businesses in the Republic of Cyprus:
- Companies (private or public);
- Partnerships (General or Limited);
- Business Name;
- European Company (SE);
- Overseas Company;
- European Economic Interest Grouping (EEIG).
Initially, except in the case of establishment of a branch of overseas company, an "Application for Name Approval" has to be submitted prior to the submission for registration for any of the above-mentioned entities (Private Company, Business Name etc.).

It is noted that for using the electronic services (e-services) of the Department of Registrar of Companies and Official Receiver (DRCOR) the user Identification Procedure (profile verification) is not applicable. The available online e-services can be found under the category "Online Services related to Companies (DRCOR)" on ARIADNI'S E-Service Catalogue.
The application for approval/ change of name is submitted by hand or by mail to the One Stop Shop/PSC Cyprus’ Οffice or to the Registrar of Companies and Official Receiver along with the fee of €10,00 or €30,00 (please note that the fee is applied per name and not per application) under accelerated procedure (payable in cash, cheque, amount deducted from an account the applicant keeps with the Registrar of Companies or via a bank transfer). Please note that One Stop Shop accepts only applications with acceleration fees and the One Stop Shop Application Cover for Name Approval is to accompany the above-mentioned application.
Online applications for name approval can also be submitted through the Registrar's "Electronic Filing System", after registration with the Government Gateway Portal ("ARIADNI").
An application for name approval is examined within one week under normal procedure or 2-3 business days under accelerated procedure. The name-examination results are provided online (through 'E-filing Workspace' of "ARIADNI", under the same category as mentioned in the previous paragraph).

When the application for name approval is submitted through the One Stop Shop it must be accompanied by the "One Stop Shop Application Cover for Name Approval" (see "Related Documents").
Interested parties may search through the names of all the registered organisations.
After securing the name approval, the relevant documents for the registration of an entity must be submitted according to the legal form of the entity.
A name approval is valid for six (6) months. If during this period of time (six months from the date of the name approval) a company (business name, partnership etc.) is not registered, the name approval has to be renewed by following the same procedure.
In certain cases and in accordance to the nature of business of the company, an approval from the Competent Authority prior to the use of a certain name is necessary (e.g. from the Legal Council for registering a Law Office, from the Ministry of Education, Culture, Sports and Youth for an Institution of Tertiary Education or University, from Cyprus Medical Council for Doctors Liability Companies, from Superintendent of Insurance for insurance companies, from Cyprus Securities and Exchange Commission for a Variable Capital Investment Company).
Variable Capital Investment Company
This company is a limited liability company with the shares. Its main feature is that, according to its Memorandum and the rules governing its operation, its shares have no nominal value but variable value. These companies may be incorporated as such after obtaining a license from the Cyprus Securities and Exchange Commission to operate as Undertakings for Collective Investment in Transferable Securities (‘’UCITS’’)

Redomiciliation of Registered Office
Companies registered in any country can transfer their registered office in the Republic of Cyprus, provided that the legislation of the country of origin allows for such transfer. Also, the Articles of Association of the company must provide for the continuation of the company under the legal status of another approved country or jurisdiction.
Once the approved name with which the company will continue to operate in the Republic of Cyprus the following should be submitted by hand or by post, certified by a registered lawyer in the Republic of Cyprus, to the Registrar of Companies:
- Application of overseas company for its continuation in the Republic(ME1);
- Affidavit by overseas company's authorised representative (MEA);
- Total fee € 130.00 for the above documents, plus an optional €100,00 for accelerated procedure (payable in cash, cheque, deduction from an account held by the applicant in the Registrar of Companies or bank transfer).
Upon registration by the Registrar, the Temporary Certificate of Continuation of company is issued. After 6 months and with an extension of 3 months from the date of issue of the above certificate, the overseas company submits to the Registrar of Companies, by hand or post, the declaration of overseas company (ME4) and the Certificate of Continuation of Company is issued.
The registration procedure is completed within three (3) business days under accelerated procedure or within ten (10) business days under normal procedure from the date the application was duly submitted.

European Economic Interest Grouping (EEIG)
It is a cross-border cooperation between legal or natural perons ( The EEIG’s Members), from different European countries, in order to facilitate or develop the economic activities of these Members.
The establishment of an EEIG is based on Council Regulation 2137/85 of 25 July 1985 (Council Regulation (EEC) nO 2137/85)
For purposes of the application of Council Regulation (EEC) No 2137/85 of 25 July 1985 in the Republic of Cyprus the following legislation has been passed:
-The European Economic Interest Grouping (EEIG) (Implementing Provisions) Law of 2012 (161 (I) / 2 012) – (Official Gazette: Annex I (I), 4366, 23.112012) and
-The European Economic Interesting Grouping (Fees and Rights) (Amendments) (Regulations) of 2015 – (Official Gazette: Annex III(I), no. 4884, 24.7.2015, Regulatory administrative practices 247/2015, number 247, page 1648.
(1) Persons intending to establish the EEIG should submit to the Registrar of Companies the contract for the formation of EEIG:
In case that the contract for the formation of the EEIG is not in Greek language, a certified translation into the Greek language shall be given to the Registrar.
(2) The registration form, ΕΟΟΣ 1, the specimen of which is listed in Annex I, contains a declaration concerning the names and particulars provided for in subsection (2) of Article 8 of this Law.
(3) By registering the EEIG in the EEIG’s Register, the Registrar shall issue an EEIG registration certificate stating that the EEIG has been registered since the date of the entry mentioned in the certificate.
